  • Director is the overall head of the corporation. You can add one or more director, but every director has equal access and power to the corporation. Bank may ask all of the director to be present during opening a bank account. Please note, for an Nova Scotia corporation, minimum 25% of directors (1 out of 4) must be either Canadian citizen or PR.

  • Anybody including an employee can be an officer to the corporation. It's not as important role as of director. Any designation is fine. It's more important for big corporation.

  • Please be advised Corporate Tax Account is needed to report corporate tax with Canada Revenue Agency. Doing it later may cost much more & take longer processing time. We recommend to complete all necessary filing works in one shot and thus corporation will be completed.
  • If you make sales and generate revenue, for applicable amount, you are required to collect HST; if you don't, you could be held liable by CRA.
  • Payroll account is required, if your corporation have a plan to have a full time or part time employee (including you or your family members).
  • Service Nova Scotia Initial Return is a mandatory filing for every new corporation. If you do not file it, after 60 days your corporation would be nullified and void.
  • If your business involves in importing or exporting physical goods, it is required. The government uses this account to process customs.
  • WCB is Nova Scotia Workers Compensation Board. It is required and obligatory if your corporation plan to have an employee, full time or part time. It is also required if you have contract or sub-contract. For an Independent IT contractor, it's also required.
  • A Minute book (corporation's record book) is a corporate legal document prepared by a corporate lawyer. It includes by laws, organizational minutes and resolutions and other 9 more legal sections. Every corporation must have a Minute Book as per corporation act. To open a bank account, a Minute Book is required by banks. This legal document defines the owner (shareholder) of the corporation, share structure of corporation. Without defining shareholders of the corporation, it is not legal for someone to take corporation's money to his/her account. Adding in package gives it much less price than preparing later manually by a corporate law firm. The next page is on share structure and shareholders (owners) information, it will skip if you do not choose Minute Book.
  • It's a weaker class of shares (than class A), normally issued if corporation plans to sell some of its shares to others. Share price here is just an initial one and could be changed latter.

  • Total share is determined by adding up each shareholder's share number. Example: your share number 6 and your spouse's share number 4. Then total shares = 6 + 4 = 10. In this case, you hold 60% (6 out of 10) and spouse holds 40% (4 out of 10). If only one shareholder, the person holds 100% of it regardless the number of share. If more than one shareholder and you want to assign in percentage, it would be easy to make total number of share as of 100. Example, John to be 20%, Mike to be 30% and David to be 50%. In that case, let's make total share as of 100 by assigning John 20 shares, Mike 30 shares and David 50 shares.
  • Share Certificates is the legal and official proof of ownership of corporation. You may need it to show in any official purpose such as bank, contracts, mortgage etc. It's an absolute recommended items if you have more than one shareholder. We will send some blanks certificates as well which could be used in future in case you add any other person (such as wife, child, friend) as shareholder.
  • Authorized and secured official corporate seal is a protection against fraudulent activity. It has legal value (by default defended) than other values. It's highly recommended if your corporation has frequent transactions or provide any receipt, invoices or contract or sub-contract.
